1. About LegalWith

LegalWith.com, Inc. ("LegalWith," "we," "us," or "our") is a technology platform that helps individuals and businesses form legal entities, file compliance documents, and manage ongoing business obligations. LegalWith is not a law firm and does not provide legal advice, legal opinions, or legal representation. No attorney-client relationship is created by your use of our platform or services.

2. Acceptance of Terms

By accessing or using the LegalWith website, mobile applications, or any of our services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services. We may update these Terms from time to time, and your continued use of the Services after any changes constitutes your acceptance of the revised Terms.

3. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts to use our Services. By using LegalWith, you represent that you meet these requirements and that all information you provide is accurate and complete.

4. Services We Provide

LegalWith offers the following types of services:

• Business entity formation (LLCs, corporations, nonprofits, DBAs)
• Registered agent services
• EIN/Tax ID filing
• Compliance filings (annual reports, amendments, dissolutions)
• Document preparation (operating agreements, bylaws, resolutions)
• Beneficial Ownership Information (BOI) filings
• Business license research

We prepare and file documents based on the information you provide. We do not independently verify the accuracy of the information you submit. You are solely responsible for the accuracy and completeness of all information provided to us.

5. Your Account

To use certain features of our Services, you may need to create an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately if you suspect any unauthorized use of your account.

6. Accuracy of Information

You represent that all information you provide to LegalWith is accurate, current, and complete to the best of your knowledge. You have obtained any third-party consents necessary for us to process your order (for example, consent from business partners, directors, or shareholders whose information you provide).

7. Electronic Signatures and Communications

By using our Services, you consent to receive communications from us electronically, including emails, text messages, and notifications through our platform. You authorize LegalWith to affix your electronic signature to documents where required to complete your filing. You may withdraw this consent at any time by contacting us at jun.son@legalwith.com, provided your documents have not already been filed.

8. Pricing, Payment, and Fees

All prices displayed on our platform are in U.S. dollars. The total cost of your order includes our service fee plus any applicable government filing fees. Government filing fees are set by state agencies and are subject to change without notice.

Installment Plans. Where available, you may choose to pay in installments. By selecting an installment plan, you authorize LegalWith to charge your payment method for the scheduled installment amounts on the applicable dates. If a payment fails, we may retry the charge. If you remain in default, we may charge the remaining balance in full.

Filing Fees. When you purchase a service that involves submitting a filing to a government agency, you authorize us to charge your payment method for any required filing fees, including late fees or penalties, necessary to complete your filing.

9. Refund Policy

If you are unsatisfied with our service due to an error on our part, please contact us within 60 days of your purchase date. Refunds are evaluated on a case-by-case basis. Government filing fees that have already been paid to a state agency are non-refundable. Refunds, where applicable, will be issued to your original payment method.

10. Abandoned Orders

If you do not provide the information necessary to complete your order within 120 days of purchase, we may cancel your order and consider it abandoned. We will make reasonable efforts to contact you before cancellation. For abandoned orders, our service fee is non-refundable as it compensates us for the resources committed to your order.

11. Third-Party Services

Some of our services involve third-party providers, including registered agent services, banking partners, and payment processors. When you use these services, you may be subject to the third party's terms and privacy policy. LegalWith is not responsible for the acts or omissions of any third-party provider.

12. Intellectual Property

All content on the LegalWith platform, including text, graphics, logos, software, and design, is owned by LegalWith or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our written permission.

Documents we prepare for you (such as operating agreements and articles of organization) are provided for your use in connection with your business and are not subject to this restriction.

13. Account Suspension

We reserve the right to suspend or terminate your account if we detect suspicious activity, violation of these Terms, or any conduct that we believe may harm LegalWith, our users, or third parties. We will make reasonable efforts to notify you before or promptly after any suspension.

16. Indemnification

You agree to indemnify and hold harmless LegalWith and its officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of our Services; (b) your violation of these Terms; (c) any inaccurate information you provide to us; or (d) your violation of any applicable law or regulation.

17. Dispute Resolution

We encourage you to contact us first at jun.son@legalwith.com to resolve any concerns informally. If we are unable to resolve a dispute informally, the following applies:

(a) Binding Arbitration. Any dispute arising from these Terms or your use of our Services that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in the county where you reside or in a mutually agreed location. The arbitrator's decision shall be final and binding.

(b) No Class Actions. You and LegalWith agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of any class, consolidated, or representative action.

(c) Opt-Out. You may opt out of this arbitration provision by sending written notice to jun.son@legalwith.com within 30 days of first accepting these Terms.

(d) Small Claims. Either party may bring an individual action in small claims court as an alternative to arbitration.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. For any dispute not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in California.

19. Force Majeure

LegalWith shall not be liable for any delay or failure to perform its obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, acts of government, war, terrorism, labor disputes, utility failures, or cyberattacks.

20. Communications and Marketing

By providing your email address or phone number, you may receive transactional communications related to your order (such as filing status updates and document delivery notifications). If you opt in to marketing communications, you may also receive promotional offers and helpful business tips. You may unsubscribe from marketing communications at any time by clicking the unsubscribe link in any email or by contacting us. To opt out of SMS messages, reply STOP to any text message from us.

21. Use of Technology

LegalWith may use automated systems, including artificial intelligence, to assist in document preparation, customer support, and other aspects of our Services. Human review is applied where appropriate. You acknowledge and consent to the use of such technology in connection with the Services.

22. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

23. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LegalWith regarding your use of the Services. These Terms supersede any prior agreements or understandings, whether written or oral.
